These Terms of Service (“Terms”) govern your use of narusystems.com (the “Site”) and the AI agent and Voice AI agent services provided by NARU Systems (“NARU,” “we,” “us,” or “our”) (the “Services”). By using the Site or the Services, you agree to these Terms. If you are using them for a business, you confirm you can bind that business (“Client,” “you”).
1. The Services
- AI agents: assistants that work in a chat channel to research, draft, summarize, track tasks and follow-ups, and run agreed routines using apps you connect.
- Voice AI agents: AI that answers your business line for overflow and after-hours calls, answers approved questions, captures caller details, notifies your team, and routes calls by your rules.
- Custom automations and enterprise setups, scoped separately.
The exact job, users, connected apps, permissions, usage budget, fees, and launch details for each engagement are set out in a written proposal or order (“Proposal”). If a Proposal conflicts with these Terms, the Proposal controls for that engagement.
2. Demos and pilots
- A free demo is a discussion and walkthrough with sample data. It does not include setup or implementation.
- A pilot runs for 30 days on the agreed job and starts once the agreed test setup is accepted and live. Pilots never renew or convert automatically; continuing requires your approval at the pilot review. Any pilot credit or setup waiver applies only as stated in your Proposal.
3. Fees, usage, and billing
- Fees, setup fees, and included usage are listed in your Proposal and on our pricing page. After an approved pilot, service is month to month and billed monthly in advance. Setup is a one-time fee for the agreed deliverables.
- Usage: AI model usage and paid third-party services are separate from service fees unless your Proposal says otherwise. We agree a budget cap before paid usage is turned on, and raising it requires your approval. Voice AI minutes are measured from call logs, reset each billing period, and do not roll over; extra minutes are charged only within your approved cap.
- Invoices are due on receipt unless your Proposal says otherwise. We may pause Services for non-payment after reasonable notice. Fees are non-refundable except as stated in your Proposal or required by law. Prices exclude taxes.
4. Your responsibilities
- Provide accurate information, approved scripts and FAQs, and the access the agreed job needs.
- Keep your own accounts and credentials secure, and review AI output before approving consequential or customer-facing actions.
- Calls and messages: you are responsible for giving any notices and obtaining any consents required to answer, record, or transcribe calls and to contact people (for example, call-recording disclosures and TCPA, CAN-SPAM, and state law requirements), and for how your business uses call summaries.
- Follow the terms of every third-party platform you connect.
- Remain responsible for callbacks, decisions, and work outside the approved job.
5. Approvals and limits of AI
AI can make mistakes. Drafting and sending are separate permissions, and sending messages, changing records, or making bookings require permission you approve. Agents are not set up to give legal, tax, financial, medical, or safety advice, to quote prices you have not approved, or to make decisions that need a professional. Call handling does not guarantee bookings, leads, revenue, or other results.
6. Data and confidentiality
You own your data and the data of your customers. We use it only to perform the Services, as described in our Privacy Policy, and keep it confidential. Regulated or sensitive-data workflows (for example, health, financial account, or payment card data) are not included unless agreed in writing after a separate review. When an engagement ends, we will return or delete Services data and help hand off access as set out in your Proposal.
7. Third-party services
The Services rely on third-party providers, such as AI model, speech, telephony, hosting, and the apps you connect. We are not responsible for their outages, changes, pricing, or data handling, and a connection covers only the actions we list and test for your account.
8. Acceptable use
You may not use the Site or Services to break the law, send spam or unlawful calls or texts, deceive or harass anyone, infringe others' rights, introduce harmful code, interfere with our systems, or copy or resell the Services without written permission. We may suspend Services to stop misuse.
9. Intellectual property
NARU keeps all rights in the Site, our brand, and our methods, templates, prompts, tools, and configurations. You keep all rights in your content and data. Once fees are paid, you may use the deliverables made specifically for you in your business. Unless you opt out in writing, we may mention that you are a client in non-confidential terms.
10. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE UNINTERRUPTED OR ERROR-FREE OPERATION OR ANY PARTICULAR BUSINESS RESULT. DEDICATED RESPONSE-TIME OR UPTIME COMMITMENTS REQUIRE A SEPARATE WRITTEN AGREEMENT.
11. Limitation of liability
TO THE EXTENT ALLOWED BY LAW, NARU WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE, SERVICES, OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID NARU IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnity
You will defend and indemnify NARU against claims arising from your content and data, your instructions, your communications with your customers (including call-recording, TCPA, and CAN-SPAM claims), your connected accounts, or your breach of these Terms.
13. Term and termination
Either party may end month-to-month service as set out in the Proposal. We may suspend or end Services for non-payment, breach, or misuse. Sections that by their nature should survive (fees owed, data, intellectual property, disclaimers, liability, indemnity, and disputes) survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules. The parties will first try to resolve any dispute through good-faith discussion. Any unresolved dispute will be brought only in the state or federal courts located in Macomb County, Michigan, and both parties consent to that jurisdiction.
15. General
These Terms, your Proposal, and our Privacy Policy are the entire agreement on this subject. If any part is unenforceable, the rest stays in effect. Not enforcing a term is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition, or sale of assets. We are an independent contractor. Neither party is liable for delays caused by events beyond its reasonable control. We may update these Terms by posting a new version with a new “Last updated” date; changes to an active engagement take effect only as agreed in writing.
